The Lagos State Government Ministry of Energy and Mineral Resources (MEMR) and Office of Public-Private Partnerships invites qualified Independent Power Producers/Power Solution Companies to express an interest in the resuscitation of the Akute Power Plant. The aim of this EOI is to resuscitate the Power Plant to at least 70% of its installed capacity and add additional capacity to meet the requirements of the rehabilitated water plants.
The Lagos State Ministry of Energy and Mineral Resources is charged with the responsibility to plan, devise and implement the state policies on Energy and Mineral Resources. The Ministry of Energy and Mineral Resources, formerly Office of the Special Adviser on Mineral Resources Development, was created in July 2011 in a move aimed at developing capacity to attend to the power needs of residents and explore the hydrocarbon, oil and gas potentials as well as other mineral resources of the State. The Ministry has an overall responsibility of strategizing, promoting and developing sustainable policies for energy planning to ensure availability of reliable energy for all residents in Lagos State as well as making Lagos State an investment destination using available mineral resources {solid, liquid and gas} as catalyst.

Title: The Resuscitation of the Akute Power Plant
Location: Lagos
Overview
- We are requesting for Expressions of Interest (EOI) for selection of a preferred bidder for the Resuscitation of the Akute Power Plant that powers the Lagos State Water corporation facilities at Akute, Adiyan and Iju water works via build, own, operate and transfer.
Background
- The Akute power plant was designed to power the Lagos State Water Corporation ("LWC") facilities at Akute, Adiyan, and lju water works. The plant consists of 4 Gas-fired Engines with all necessary auxiliaries for the smooth operation of the plant. The plant's total capacity at commissioning stands at 12.15MW with each unit rated at 3.075MW.
- As of the time of shutting down the plant in July 2022, the status report is as follows:
- Unit 1 was okay and running before shutdown instruction.
- Unit 2 had a bad alternator which was refurbished
- Unit 3 had an Exciter issue
- Unit 4 had the alternator removed and with vendor
- To meet the requirements of the ongoing expansion and rehabilitation works, the net dependable capacity expected from the rehabilitated plant is scheduled to be 8.51MWh.
- Lagos State Ministry of Energy and Mineral Resources (MEMR) on behalf of the Lagos State Government is hereby inviting qualified Independent Power Producers/Power Solution Companies to express an interest in the resuscitation of the Akute Power Plant to at least 70% of its installed capacity and add additional capacity to meet the requirements of the rehabilitated water plants.
- The transaction is on a pay-as-use s-use basis with LWC as the anchor customer. The Partner would be free to utilize the assets to trade on the Lagos Electricity Market.
Project Scope
The proposed scope of work to be provided shall include but not limited to the following:
- Upgrade the plant to meet the requirement of the LWC Plants on a M+1 basis.
- Arrange for and soure all the financing required for the plant, based on the Power Purchase Agreement (PPA) to be signed with Lagos State Water Corporation.
- Resuscitation of the 4 units of the plant to at least 70% installed capacity;
- Commissioning and Testing of the plant to confirm they meet contracted Net Capacity specified performance criteria
- Operation and Maintenance of the plant
- Refurbishment and handover of the plants to Lagos State Government at the end of the agreed PPA term.
Eligibility Requirements
- The bidder may consist of a single company or a consortium of companies with the Jashnigel Financial, Legal, IPP, PPP and other specialist expertise required to successfully deliver on the project.
- In the case of a consortium, the consortium members must jointly submit the information required herein paragraph 3.
- Consortiums must also clearlyidentify a member company as the Lead Company as well as identify the specialized expertise/fields of its membership.
- The Lead Company will have the primary responsibility for liaising withthe Project Delivery Team and for managing the consortium'sperformance of the Project.
- The pre-qualification requirements are listed in the subsections below. Only prequalified fied entities shall proceed to the REQUEST FOR PROPOSAL (RFP) stage, they are to execute a Non-Disclosure Agreement before issuance of the RFP documents.
General Requirements
- Full name and contact person, postal address, telephone, and e-mail addresses of each corporate entity.
- Company profile and profile of management team
- Company registration including Certificate of Incorporation, certified true copies of Memorandum and Articles of Association, and CAC Form C07 or the equivalent
- Ownership structure including name(s) of shareholders and percentage shareholding.
- Evidence of current registration with Lagos State Public Procurement Agency prior to the final stage of the bidding process.
- Evidence of payment for Expression of Interest (EOI) fees to the Office of Public-Private Partnership (OPPP)
- Evidence of the firm's Tax Clearance Certificate issued for the last Three (3) years. (i.e.) 2021, 2022 and 2023,
- Affidavit disclosing whether or not any officer of the relevant committee of the LASG, MEMR, OPPP, LWC or its agencies is a former or present director, shareholder, or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars
- Affidavit that the company is not subject to any form of insolvency or bankruptcy proceedings or the subject of any winding down petitions or proceedings
- All foreign equivalent documentation must be translated into English Language and certified by a competent authority in English Language
Relevant Experience:
The bidder must have undertaken Independent Power projects in the past 10 years with a cumulative capacity of at least 30MW. At least one of the projects has a single capacity of at least 5MW via EPC. In the other projects, the bidder must have been either or all of the following:
- Independent Power Producer
- Engineering, Procurement, Construction (EPC) Contractor; and
- Operations & Management (O&M) contractor.
The bidder is to provide evidence of previous experience detailing the following information:
- Direct experience delivering and structuring PPP transactions
- At least two (2) award letters and certificate of job completion of similar roles carried out in the past of PPP Power concessions
- Description of roles played in at least Three (3) PPP Power/related transactions closed in emerging markets during the past Ten (10) years (at least one of which should be in the past Four (4) years)
- Availability of appropriate skills with relevant qualifications
- Name and address of a Referee for the previous projects; and
- Experience working in Nigeria and/or sub-Saharan Africa.
Financial Capability:
- Provide the most recent 3-year audited Financial Statements and latest Management Accounts.
- Evidence of PAYE remittance for Nigerian consortia/firms.
- Evidence of financial capability/ availability of financial resources/access to funding from a credible Nigerian Tier 1 financial institution.
